In the Regular Meeting held on February 26, 2008, the Company’s Board of Directors accepted the resignation of Independent Director Gregory L. Domingo and elected Winston F. Garcia to replace him and to serve as such for the remainder of his term. The board also elected Peter D. Garrucho, Jr. to replace Jose Manuel Prieto who earlier resigned.
The Board fixed March 14, 2008 as the record date for the determination of stockholders entitled to notice and to vote at the Company’s Annual Stockholders Meeting to be held on Tuesday, May 27, 2008, starting at 9:00 a.m., at the Meralco Theater, Lopez Building, Ortigas Avenue., Pasig City.

The Manila Electric Company (MERALCO) and Quezon Power (Philippines), Limited Company signed on February 21, 2008, settlement agreements intended to resolve pending issues in connection with transmission line fees disallowed for recovery by the Energy Regulatory Commission (ERC). The agreements include an amendment to the Transmission Line Agreement, which will calculate transmission line fees in accordance with the formula previously approved by the ERC |
